Terms of Service — Wood-Deal

1. Acceptance of Terms

By creating an account on Wood-Deal ("the Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree with any part of these Terms, you must not use the Platform. These Terms constitute a legally binding agreement between you and Wood-Deal.

2. Description of Service

Wood-Deal is a free B2B marketplace that connects businesses in the biomass industry. The Platform allows registered companies to publish supply listings and purchase requests for biomass products (wood chips, pellets, sawdust, recycled wood, briquettes, logs, panels, and other biomass residues), communicate through a lead/messaging system, negotiate terms, and close deals.

3. Eligibility

You must be at least 18 years of age.
You must be authorized to act on behalf of the company you represent.
You must provide accurate and complete registration information.
You must verify your email address to access all platform features.

4. User Accounts

You are responsible for maintaining the confidentiality of your account credentials.
You must notify us immediately of any unauthorized use of your account.
One person may hold only one account. Multiple accounts per individual are prohibited.
We reserve the right to suspend or terminate accounts that violate these Terms.

5. Company Profiles

Registered users may create a company profile. By creating a company profile, you represent and warrant that you are authorized to act on behalf of that company. Company information (name, country, description, listings) will be visible to other registered users on the Platform according to the access tier system.

6. Listings & Transactions

All listings must describe real, available biomass products or genuine purchase needs.
Prices, quantities, and specifications must be accurate and up to date.
Wood-Deal is not a party to any transaction between users. We provide the platform; all deals are directly between buyer and seller.
We do not guarantee the quality, safety, legality, or availability of listed products.
Users are solely responsible for performing due diligence before closing a deal.

7. Prohibited Conduct

You agree not to:

Post false, misleading, or fraudulent listings or information.
Use the Platform to spam, harass, or abuse other users.
Attempt to circumvent rate limits, security measures, or access controls.
Scrape, crawl, or automatically extract data from the Platform without permission.
Upload malicious files, viruses, or harmful content.
Impersonate another person or company.
Use the Platform for any illegal purpose or to trade in prohibited materials.

8. Intellectual Property

The Platform's design, code, logos, and branding are the property of Wood-Deal. Content you upload (company data, listings, images, documents) remains your property, but you grant Wood-Deal a non-exclusive, worldwide license to display it on the Platform for the purpose of providing the service.

9. Limitation of Liability

To the maximum extent permitted by law, Wood-Deal shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform. This includes, without limitation, damages for lost profits, data loss, business interruption, or any transaction disputes between users. The Platform is provided "as is" without warranties of any kind.

10. Indemnification

You agree to indemnify and hold harmless Wood-Deal, its officers, employees, and partners from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Platform, your violation of these Terms, or your violation of any third-party rights.

11. Termination

We may suspend or terminate your account at any time if you violate these Terms, with or without prior notice. Upon termination, your right to use the Platform ceases immediately. You may also delete your account at any time. Provisions that by their nature should survive termination (including liability limitations, indemnification, and dispute resolution) shall survive.

12. Privacy

Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal data in compliance with the GDPR.

13. Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated to registered users via email at least 14 days before they take effect. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.

14. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Poland. Any disputes shall be resolved in the competent courts of Suwałki, Poland, without prejudice to your right to bring proceedings in your country of residence under applicable consumer protection laws.
